INTERRUPTION OF SERVICE
While we will try to ensure the standard of the COGS4HR System remains high and to maintain the continuity of the service, we will not be liable if, for any reason, the COGS4HR System is unavailable, totally or partially, for any time or period. We do not accept responsibility for errors, interruptions or delays to the effective functioning of the COGS4HR System.
USE OF THE COGS4HR SYSTEM
You may only use the COGS4HR System for lawful purposes as a customer, employer, employee, contractor or worker, or any other applicable term, regarding the services provided by the COGS4HR System.
You must not seek to undermine the security of the COGS4HR System, or any information submitted to or available through it. In particular, but without limitation, you must not seek to access, alter or remove any information to which you do not have allowed access to, seek to overload the system via spamming or flooding, take any action or use any device, routine or software to crash, delay, damage or otherwise interfere with the operation of the COGS4HR System or attempt to decipher, disassemble or change any of the software, coding or information comprised in the COGS4HR System.
You, are solely responsible for any information submitted by you to the COGS4HR System, including username and password information, if applicable. You ensure that all information supplied by you is true, up-to-date and not misleading or likely to mislead or deceive and that it is not discriminatory, obscene, offensive, defamatory or otherwise illegal or in breach of any applicable legislation, regulations, guidelines or codes of practice or the copyright, trademark or other intellectual property rights of any person in any jurisdiction.
You are also responsible for ensuring that all information, data and files are free of viruses or other routines or engines that may damage or interfere with any system or data prior to being submitted to the COGS4HR System. We reserve the right to remove any information supplied by you from the COGS4HR System at our sole discretion and for any reason without being required to give any explanation.
INTELLECTUAL PROPERTY RIGHTS
The COGS4HR System is owned by ProBc (PTY)Ltd or is licensed for use by us. Everything you see or read on the COGS4HR System (such as images, photographs, illustrations, texts, video clips and other materials) are protected worldwide by copyright, design, trademark and other intellectual property laws. You must respect all intellectual property rights in the COGS4HR System and the Content, owned by ProBc. You must not obtain or attempt to obtain any of the Content by means or procedures other than those which have been made available to you by the COGS4HR System.
In no event will these T&Cs or your use of the COGS4HR System grant you any intellectual property rights to the COGS4HR System or the Content other than those set out or in any Special Conditions. You are therefore prohibited to carry out any reproduction, transformation, distribution or public communication of, or to make available, extract, reuse, resend or in any other way use, by any means or procedure, any parts of the COGS4HR System or the Content, except as allowed by these Terms of Use or any relevant Special Conditions, or when you are allowed to do so by applicable law, or when explicit authorization has been provided by the holder of the relevant rights.
INFORMATION SUBMITTED BY YOU
We will host information supplied by you on the system, only to aid you with your day-to-day HR and IR compliance and associated administrative functions.
We acknowledge and understand that any such information, supplied / uploaded by you, might / will contain sensitive personal information of employees / contractors / subjects associated with you and undertake to make all reasonable efforts to ensure that such information is safeguarded from access by any unauthorised 3rd party.
ENTIRE AGREEMENT
The current T&Cs superseded all previous agreements, arrangements, and understanding. Where a conflict of information arises between other ProBc agreements, the T&Cs will supersede any other agreements.
INFORMATION ON THE SYSTEM
Whilst we try to ensure that the information on the COGS4HR system is accurate and complete, we cannot check the accuracy or completeness of the information supplied to us by third parties using the system. We do not accept any liability arising from any inaccuracy or omission in any of the information on the system or any liability regarding information on the system supplied by you, any other system user or any other person.
LIABILITY
We accept no liability for any loss (whether for loss of business, revenue or profits, wasted expenditure, corruption or destruction of data or for any other direct, indirect or consequential loss) arising from your use of the system and we exclude any such liability, whether in contract, tort (including for negligence) or otherwise. We exclude all representations, warranties and conditions relating to this COGS4HR System and your use of it to the maximum extent permitted by law.
You agree to indemnify us and keep us indemnified against all costs, expenses, claims, losses, liabilities or proceedings arising from use or misuse by you of this system.
You must notify us immediately if anyone makes or threatens to make any claim against you relating to your use of the system.
CHOICE OF LAW AND JURISDICTION
Using this COGS4HR System and any agreements entered through this COGS4HR System are to be governed by and construed under South African law, subject to the jurisdiction of the courts of the Republic of South Africa.
